The terms of use, plainly.

These Terms are a binding agreement between you and Signal Labs Inc. (“Signal Labs”, “we”, “us”). By accessing or using the Behaviour Code assessment, the Decoder, our reports, or any related site, tool or API (together, the “Service”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

The Service reads behavioural patterns and produces interpretive reads, brand guidance and category analysis. It is a developmental and strategic instrument. It is not a clinical, psychological, medical or hiring assessment, and it is not professional advice. Reads are interpretive and are yours to accept, adapt or overrule.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access the Service and to use the reads and reports we generate for you, for your own personal or internal business purposes. Paid deliverables (for example an Identity or a Strategy) are licensed to you for that same use. This is a licence to use the Service, not a sale or transfer of any of the intellectual property in it.

The Service and everything that makes it work are the exclusive property of Signal Labs and are protected by copyright, trademark, and trade-secret law. This includes, without limitation:

• the Behaviour Code engine and the Decoder engine — the two-stage scoring model, the trait and weighting system, the algorithms, and all methodology behind them;
• the archetype, avatar, trait and shadow libraries, the Codes, and the way they are constructed;
• the software, source code, APIs, designs, text, reports and all other content of the Service; and
• “Signal Labs”, “Behaviour Code”, “the Decoder”, and the archetype and avatar names and marks.

The methodology that turns choices into a Code is our confidential trade secret. We publish reads; we do not publish the engine. Nothing in these Terms grants you any right in our intellectual property beyond the narrow licence above.

To protect the instrument and everyone who relies on it, you agree that you will not:

• reverse-engineer, decompile, disassemble, or otherwise try to discover or reconstruct the scoring model, weights, prompts or methodology;
• access the Service by any automated means — bots, scrapers, crawlers, or scripts — or scrape, harvest, or bulk-collect any content, data, reads or outputs from it;
• probe, load-test, rate-abuse, or circumvent any access control, authentication or security measure;
• copy, resell, sublicense, rent, republish, or create derivative works from the Service or its outputs, except the personal use your licence allows;
• use the Service, its outputs, or any data derived from it to build, train, benchmark or improve a competing product, model or dataset; or
• misrepresent an output as your own methodology, or present a read as clinical, diagnostic or hiring advice.

These restrictions are a material part of this agreement. Breaching them ends your licence immediately and may cause us harm for which we will seek every available remedy.

You keep ownership of the information you submit. So that we can run and improve the Service, you grant Signal Labs a worldwide, royalty-free licence to host and process your submissions and, in anonymized or aggregated form, to use them to operate, research, validate, and improve the Service and the models behind it. We handle anything that identifies you under the Privacy Policy, and we never sell your personal data.

If you use the Agent, the things you tell it, your reflections on real working moments, are kept as behavioural signal tied to your account. About once a quarter, the same instrument that first measured you re-reads that signal to sharpen your Code: it confirms your read, or resolves it toward another of your own top faces. It is always grounded in and bounded by your existing read, and where the signal is thin it says so rather than over-claim. The signal you contribute and the version history of your read are yours. You can turn the re-read off, and ask us to delete your reflections, at any time. Identifying data is handled under the Privacy Policy.

Separately from your data, parts of the Service (the Decoder and its category reads) analyze publicly available information about brands, organizations, and public works. That analysis is transformative: we derive behavioural signals and category structure, and we do not republish source content. We do not build reads of private individuals from this material. Where a source’s terms or the law require it, we honour those limits.

The Service is provided “as is” and “as available”, without warranties of any kind. Reads are interpretive and are not guaranteed to be accurate, complete, or fit for any particular decision. To the fullest extent the law allows, we disclaim all implied warranties.

To the fullest extent permitted by law, Signal Labs will not be liable for any indirect, incidental, special or consequential damages, or for any decision made in reliance on a read. Our total liability for any claim relating to the Service is limited to the amount you paid us for it in the [twelve months] before the claim, or [CAD $100] if you paid nothing.

We may update the Service and these Terms; if we make a material change we will update this page and the date above, and your continued use means you accept the change. We may suspend or end access for any breach of these Terms. These Terms are governed by the laws of [governing jurisdiction — to be confirmed with counsel], and any dispute will be handled in the courts of that place.
